1. Agreement to Terms

By accessing or using the CodeMagic website (codemagic.global) and services, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you may not access our website or use our services.

2. Description of Services

CodeMagic provides AI-native embedded product teams: senior engineers, designers, and delivery leads embedded in your repo, Slack, and sprints under a flat monthly allocation. Engagements are billed as weekly capacity (Starter, Growth, Enterprise tiers), not fixed-scope milestones. Specific deliverables, timelines, and service levels are defined in the individual Master Services Agreement (MSA) and Statement of Work (SOW) for each engagement.

3. Intellectual Property Rights

The content on this website, including text, graphics, logos, images, and software, is the property of CodeMagic and is protected by copyright and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

Client Work: IP From Day One

All source code, designs, documentation, models, and deliverables produced by CodeMagic for a client engagement are owned by the client from the moment they are written. Not on final payment, not on contract termination. No escrow, no licensing back-doors, no shared-IP games. Reusable, non-client-specific internal tooling, libraries, and methodologies remain CodeMagic property. Specific IP terms are detailed in each MSA.

4. User Responsibilities

When using our website and services, you agree to:

  • Provide accurate and complete information
  • Maintain the confidentiality of any account credentials
  • Use our services only for lawful purposes
  • Not interfere with or disrupt our services
  • Not attempt to gain unauthorized access to our systems

5. Engagement Model & Triple-Lock Guarantee

All embedded-pod engagements are subject to a Master Services Agreement and Statement of Work that specify:

  • Tier, weekly capacity, and monthly fee
  • Delivery lead, pod composition, and cadence
  • Sprint rhythm, reporting, and success criteria
  • IP ownership (client-owned from day one)
  • Data Processing Agreement (DPA) and confidentiality terms
  • Cancellation and pause rights

Our triple-lock guarantee applies to every engagement: Week-1 start lock (pod live within 7 business days or first-week fees waived), 30-day money-back (full refund if we haven't materially shipped by day 30), and missed-commitment credit (pro-rata credit against the next invoice if we miss a committed sprint goal). Specific trigger conditions and remedies are detailed in each MSA. In the event of any conflict between these Terms and the MSA, the MSA shall prevail.

6. Payment Terms

Monthly fees are billed in advance on a rolling basis. Prices displayed on our website are in USD; we can invoice in AUD, GBP, or EUR at mid-market exchange rates on request at contract signing. Annual prepay receives a 10% discount; quarterly prepay receives a 5% discount. Invoices are due within 14 days of issue unless otherwise agreed. Engagements can be cancelled with 30 days' written notice; no lock-in, no termination fees. Add-on services (dedicated QA, dedicated DevOps, architecture reviews) are billed separately as specified in the SOW.

7. Confidentiality & Data Processing

All CodeMagic engineers are bound by mutual NDAs and our internal confidentiality policy. We will not disclose client information, architecture details, or project content to third parties without consent, except as required by law. Where we process personal data on your behalf, our Data Processing Agreement (DPA), available on request before contract, governs processing purposes, sub-processors, transfers, and breach notification obligations.

8. Limitation of Liability

To the fullest extent permitted by law, CodeMagic shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services. Our total liability for any claims arising from a project shall not exceed the fees paid for that specific project.

9. Warranty Disclaimer

Our website is provided “as is” without warranties of any kind. While we strive to provide high-quality services, specific warranties for project deliverables are defined in individual project agreements. We do not warrant that our website will be uninterrupted, error-free, or free from harmful components.

10. Indemnification

You agree to indemnify and hold harmless CodeMagic and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your violation of these Terms or your use of our services.

11. Termination

We reserve the right to terminate or suspend access to our website and services at our discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Termination of project engagements is governed by the specific project agreement.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Australia, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Australia.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our website and services after any changes constitutes acceptance of the new Terms.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
